1. Eligibility: Because we are a B2B wholesale distributor, you must be representing a legally registered business, supermarket, retail store, or food service establishment to open a commercial account or make bulk purchases.

2. Lawful Use: You agree to use the website and services only for lawful commercial purposes and in a manner that does not infringe the rights of, restrict, or inhibit any other user.

3. Account Security: You are solely responsible for maintaining the confidentiality of your wholesale account information, including your username and password, and for all ordering activities under your account.

Products, Pricing, and Availability

1. Product Information: We strive to provide accurate descriptions, images, and brand details (including seasonal items and brand collections like "Banglar Shobji"). However, batch variations or errors may occur, and we reserve the right to correct them.

2. Availability: All products are subject to seasonal availability and current stock levels. We reserve the right to limit the quantity of bulk products we supply, or refuse/cancel large-scale orders at our discretion.

3. Wholesale Pricing: Prices fluctuate based on market conditions, importation costs, and bulk volume. Prices are subject to change without notice. Applicable wholesale taxes, freight/delivery fees, or heavy-load service charges will be detailed at checkout or on your final commercial invoice.

Orders and Payment

1. Accurate Information: By placing a wholesale order, you agree to provide current, complete, and accurate business, shipping, and billing information.

2. Payment Terms: Payments must be completed using the approved wholesale methods indicated on our platform or agreed upon in your corporate credit/billing contract.

3. Order Cancellation: All orders are subject to commercial acceptance. We reserve the right to cancel or refuse any wholesale order for reasons including, but not limited to, supply shortage, errors in pricing updates, credit risk, or suspected fraudulent/unauthorized commercial activity.

Commercial Delivery & Freight Logistics

1. Delivery Boundaries: Fleet truck and freight delivery services are subject to specific commercial areas, minimum order values (MOV), and regional distribution paths.

2. Timeframes: Delivery dates and times provided by our dispatch team are realistic estimates and are not legally guaranteed. Delays may occur due to traffic, port customs, weather, or supply chain bottlenecks beyond our control.

3. Receiving Freight: Clients are responsible for providing correct loading dock information and ensuring personnel are present to receive, inspect, and sign off on frozen or fresh inventory shipments. HHH Distribution LLC is not liable for inventory spoilage due to delivery delays caused by incorrect store instructions.

Commercial Returns and Claims

1. Perishable Inspection: Due to the nature of frozen and fresh goods (such as frozen seafood and Bangladeshi vegetables), clients must inspect all pallets upon arrival.

2. Claims Window: Any claims regarding missing items, temperature mishaps, or damaged packaging must be reported to our customer service team within twenty-four (24) hours of receipt.

3. Exclusions: We reserve the right to refuse credit notes or refunds if goods have been stored improperly at the retailer's facility or are not reported within the designated claim window.

Intellectual Property

1. Proprietary Content: All content on our website, including text, logos, graphics, product photography, and digital marketing materials, is the property of HHH Distribution LLC or its brand partners and is protected by copyright and intellectual property laws.

2. Commercial Usage: Wholesale clients may use authorized product imagery and promotional assets to market the products in their retail stores, provided they do not modify the logos or alter brand identities without our written consent.

Limitation of Liability

1. HHH Distribution LLC will not be liable for any indirect, incidental, commercial, or consequential damages (including loss of business profits or retail downtime) arising from the use of our services or late deliveries.

2. While we maintain a strict cold chain and high logistics standards, we do not guarantee that our digital ordering portal or website updates will always be completely free from interruptions or server errors.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of New York. Any disputes or commercial arbitration arising under these terms shall be resolved exclusively in the competent courts located in the Bronx, New York.

Changes to Terms

We reserve the right to modify, update, or replace these Terms and Conditions at any time to reflect changing food safety regulations or updated logistics policies without prior notice. Your continued partnership and use of our platform after changes are posted constitutes acceptance of the updated terms.
